EULA - End User License Agreement

This License Agreement for the UPSS Pro or UPSS Lite (Software) is a legal agreement between you (either an individual or an entity) and UPSS Systems. You may install only ONE copy of the Software. By clicking on the I accept the agreement button, installing, copying or otherwise using the Software, you agree to be bound by the terms of this License Agreement. If you do not agree to the terms of this License Agreement, click on the I do not accept the agreement button and/or do not install the Software. YOU AGREE THAT YOUR USE OF THE PROGRAM ACKNOWLEDGES THAT YOU HAVE READ THIS LICENSE, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

1. GRANT OF LICENSE: UPSS Systems hereby grants you a non-exclusive license to use the UPSS Pro or UPSS Lite Software and Documentation subject to the following terms:

a) You may: (i) Use the Software on any single computer. The software is in use when it is either loaded into RAM or installed into the hard disk or other permanent memory and the computer is On. (ii) Install the Software in a multi-user system or network providing that you purchase a Network Version copy of the Software for each workstation that uses the Software. (iii) Copy the Software for back-up, archival purposes providing any copy contain all of the original files.

b) You may not: (i) Permit other individuals to use the Software except under the terms listed above. (ii) Modify, translate, reverse engineer, decompile, disassemble or create derivative works based upon the Software or Documentation. (iii) Copy the Software or Documentation (except for back-up purposes). (iv) Resell, rent, lease, transfer, or otherwise transfer rights to the Software or Documentation. (v) Remove any proprietary notices or labels on the Software or Documentation.

c) To interface with your Carriers' shipping software and/or display, print, edit and generate Retail rates, your system must have current and valid Published Carrier rates. New UPS, USPS, FEDEX and DHL Published Carrier Rates, program updates and technical support must be purchased from UPSS Systems each calendar year.

2. LIMITED WARRANTY. UPSS Systems warrants that the software contained herein will perform substantially in accordance with the accompanying documentation.

a) No Other Warranties. UPSS Systems disclaims all other warranties, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, with respect to the Software, the accompanying written materials, and any accompanying hardware (if any).

b) No Liability for Consequential Damages. In no event shall UPSS Systems be liable for any damages whatsoever (including but not limited to damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) which may results from the use or the inability to use this software.

c) All free technical support, carrier and software updates are for one calendar year (January 1 - December 31 of the same year), regardless when during that year the software was actually purchased. Additional support and software upgrades/updates will be available each consecutive calendar year at extra cost.

3. PRIVACY POLICY. UPSS Systems guarantees your total privacy. UPSS Systems will NOT sell, rent or give your personal information to anyone! UPSS Systems does NOT store any of your personal information on UPSS.COM website.
